General Provisions
1.1 These General Terms and Conditions ("GTC") apply to all sales of automation products, including Programmable Logic Controllers (PLCs) and related equipment and other electronics, by Brand4Brand s.r.o., Local ID: 17822203 and Local VAT ID: CZ17822203, D-U-N-S 933590492, a company registered in the Czech Republic ("Seller"), to customers ("Buyer") in the Middle East, Africa, and the United States.
1.2 These GTC apply to all contracts, purchase orders, and transactions unless explicitly agreed otherwise in writing by both parties.
1.3 Any terms or conditions differing from these GTC must be agreed upon in writing.
Orders and Acceptance
2.1 Orders must be placed in writing via email displayed on website or contacting via our official communication channels like Facebook, LinkedIn or via our store or Markeplaces.
2.2 Orders are subject to acceptance by the Seller. A contract is deemed concluded when the Seller confirms the order in writing.
2.3 The Seller reserves the right to refuse any order without stating a reason.
Prices and Payment Terms
3.1 Prices are quoted in EUR/USD or UAE Dirham and are exclusive of VAT, customs duties, and other applicable taxes.
3.2 Payments shall be made by wire transfer, online, card payment or other agreed methods.
3.3 Payment terms are advance payment, unless otherwise agreed in writing.
3.4 In case of late payment, the Seller reserves the right to charge interest at 1.5% per month or the maximum permitted by applicable law.
Delivery and Risk Transfer
4.1 Delivery terms shall be Ex Works (EXW) Czech Republic unless agreed otherwise.
4.2 The risk of loss or damage transfers to the Buyer upon handover to the carrier.
4.3 Delivery times are approximate and non-binding. The Seller shall not be liable for delays caused by force majeure, supply chain disruptions, or transport issues.
Warranty and Liability
5.1 The Seller warrants that the products conform to specifications for 12 months from the date of delivery.
5.2 The warranty does not cover normal wear and tear, improper installation, misuse, or unauthorized modifications.
5.3 If a product is found defective within the warranty period, the Seller may choose to repair, replace, or issue a refund.
5.4 The Seller is not liable for indirect, incidental, or consequential damages, including loss of profit or business interruptions.
Returns and Complaints
6.1 No returns are accepted without prior written approval from the Seller.
6.2 Any complaints must be reported within 7 days of receipt of goods.
6.3 Returned goods must be in original condition and packaging.
Compliance and Export Control
7.1 The Buyer shall comply with all applicable laws, including export control and trade regulations.
7.2 The Seller shall not be liable if the Buyer fails to obtain necessary import/export licenses.
Governing Law and Dispute Resolution
8.1 These GTC are governed by the laws of the Czech Republic.
8.2 Any disputes shall be settled through negotiation. If no resolution is reached, disputes shall be submitted to the courts of the Czech Republic.
Force Majeure
9.1 The Seller shall not be liable for failure to fulfill obligations due to circumstances beyond its control, including but not limited to natural disasters, war, strikes, and government restrictions.
Miscellaneous
10.1 If any provision of these GTC is found to be invalid, the remaining provisions shall remain in full force and effect.
10.2 The Seller reserves the right to modify these GTC at any time, with updates applying to future sales.
